Broad Definitions

Wrongful Act includes wrongful dismissal, discharge or termination of employment, wrongful discipline or demotion, negligent employment evaluation; sexual or other workplace harassment; unlawful employment discrimination; invasion of privacy, employment-related defamation; failure of the Company to create, provide for or enforce adequate or consistent employment-related policies or procedures; civil rights violations; and violations of the Family and Medical Leave Act.

Claim includes a written demand or notice for monetary or non-monetary relief commenced by the Insureds receipt of such demand, a civil proceeding commenced by the service of a complaint or similar pleading, an arbitration or formal administrative or regulatory proceeding.

Insured includes the Company and its Subsidiaries and the Employees

Employee includes duly elected or appointed directors or officers of the Company, any past, present or future employees, of the Company, including part-time, seasonal and temporary employees, any leased or loaned employees (subject to indemnification), and any scheduled independent contractors contracted to perform services for the Company.

No right or duty to defend but the Insured has option of tendering the defense to us

Severability as to all policy exclusions and the application

No settlement provision ("Hammer Clause")

Waiver of Retention on any claim that is finally resolved with no liability as to the Insured defendants
